Terms and Conditions

These Terms govern access to this website and requests for services from Grythena Systems. A signed proposal, statement of work, service agreement, or order confirmation may add project-specific terms.

1. Acceptance

By using this website or submitting a request, you agree to these Terms. Submitting a website form does not by itself create a service agreement, guarantee acceptance, reserve a start date, or require Grythena Systems to perform work. A project begins only after the scope, price, timing, responsibilities, and any required payment have been confirmed in writing.

2. Services

Services may include IT assessment and planning, network setup and optimization, cloud workspace setup or migration, cybersecurity review and protection setup, software integration, system maintenance, managed support, and technical troubleshooting. The exact deliverables are those stated in the accepted written scope. Items not stated in the scope are excluded unless added in writing.

3. Estimates and Pricing

Website prices are starting points based on typical limited scopes. Final pricing can change based on users, devices, locations, hardware, licensing, data volume, platform condition, security requirements, urgency, travel, after-hours work, and third-party limitations. An estimate is not a fixed price unless it is expressly identified as fixed in writing. Taxes, hardware, licenses, subscriptions, shipping, travel, and third-party fees are excluded unless specifically listed.

4. Client Responsibilities

The client must provide accurate information, timely decisions, safe and lawful access, current backups where applicable, a qualified point of contact, and authority to approve work on the relevant systems. The client is responsible for obtaining internal approvals and third-party permissions. Delays, incomplete access, unsupported systems, concealed conditions, or inaccurate information may change timing, cost, and feasibility.

5. Access and Security

Access should follow least-privilege principles. The client should provide temporary or role-specific access whenever practical and should not send passwords or private keys through an ordinary website form. Grythena Systems may pause work if requested access is unsafe, unauthorized, or inconsistent with the agreed scope. The client remains responsible for accounts, credentials, users, policies, and vendor relationships not placed under written management.

6. Changes in Scope

Discovery may reveal technical conditions that were not reasonably visible before work began. If additional work is needed, Grythena Systems may provide a change request, revised estimate, or separate recommendation. Work outside scope will not be assumed to be included. The client may approve, decline, or postpone a proposed change, subject to any effect on the original deliverables.

7. Scheduling and Cooperation

Dates are estimates unless expressly confirmed as firm. Maintenance windows, vendor response times, shipping, platform outages, client availability, and dependencies can affect the schedule. The parties should identify any critical business dates, blackout periods, regulatory requirements, or systems that cannot tolerate interruption before implementation begins.

8. Third-Party Products and Services

Projects may depend on hardware manufacturers, internet providers, cloud platforms, software vendors, domain providers, identity systems, and other third parties. Their products, availability, security, licensing, warranties, and support are governed by their own terms. Grythena Systems is not responsible for a third party's independent acts, outages, discontinuation, pricing changes, security events, or failure to meet its commitments.

9. Payment

Invoices are due according to the payment terms stated in the applicable proposal or invoice. Deposits or advance payments may be required before scheduling or purchasing. The client must raise a good-faith billing question promptly and pay undisputed amounts when due. Work may be paused for overdue balances, failed payments, or unresolved authorization issues.

10. Confidentiality

Each party should protect non-public business and technical information received from the other and use it only for the relevant engagement. Confidentiality does not apply to information that is public through no breach, already lawfully known, independently developed, or received lawfully from another source. Disclosure may occur when required by law, subject to notice where legally permitted.

11. Intellectual Property

Each party retains ownership of materials, methods, software, configurations, documentation, trademarks, and know-how owned before the engagement. Upon full payment, the client may use project-specific deliverables for its internal business purposes unless the project document states otherwise. Reusable tools, templates, methods, general knowledge, and third-party materials remain subject to their existing ownership and license terms.

12. No Absolute Security or Availability Guarantee

IT and cybersecurity services reduce risk but cannot eliminate every vulnerability, attack, outage, user error, vendor failure, or data-loss event. Availability and response figures shown on the website are targets that apply only when included in a written service scope. They are not universal warranties. Recommendations may depend on the client purchasing appropriate licenses, hardware, connectivity, or continuing maintenance.

13. Warranties and Disclaimer

Services will be performed with reasonable professional care consistent with the agreed scope. Except for express written commitments, the website and services are provided without implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Results can depend on conditions outside Grythena Systems' control.

14. Limitation of Liability

To the fullest extent permitted by law, Grythena Systems will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost business, lost opportunities, or loss of data, arising from website use or services. Any aggregate liability related to a specific engagement will not exceed the amount paid for the affected service during the period stated in the governing project agreement, unless applicable law requires otherwise.

15. Termination

Either party may end an engagement as allowed by the written scope or Cancellation and Complaints Policy. The client remains responsible for completed work, approved expenses, committed third-party costs, and reasonable transition work through the effective termination date. Access credentials and company property should be returned, transferred, or revoked as appropriate.

16. Governing Law

Unless a signed agreement states otherwise, these Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law rules. Before filing a formal claim, the parties agree to make a reasonable good-faith effort to resolve the issue through direct written communication.

17. General Terms

If one provision is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. Rights and obligations may not be transferred without consent except as part of a lawful business reorganization or sale. Headings are for convenience. The written project documents and these Terms form the applicable agreement and replace inconsistent prior discussions about the same scope.
